ENGAGEMENT OF COMPANY SECRETARY ON CONTRACT BASIS
JKSPDC is a Government of Jammu & Kashmir Undertaking. It develops, generates, and manages hydroelectric power projects. Therefore, the Corporation invites applications from eligible and experienced professionals for the post of Company Secretary on a contract basis.
Moreover, the engagement aims to ensure continuity of statutory, secretarial, and corporate governance functions. Consequently, it covers the period pending regular appointment to the post.

🎓 Eligibility Criteria
A. Essential Qualification
First, the candidate must possess a graduation degree from a recognized University or Institution. Additionally, the candidate must hold an Associate or Fellow Membership (ACS/FCS) of the Institute of Company Secretaries of India (ICSI). Furthermore, the ICSI Membership must remain valid as on the last date of submission of application.
B. Higher / Additional Qualification
The selection committee will give preference to candidates possessing any of the following professional qualifications. Firstly, a Bachelor of Laws (LL.B.) is preferred. Secondly, a Chartered Accountant (CA) qualification is valued. Thirdly, a Cost and Management Accountant (CMA) certification is desirable.
C. Experience
Moreover, the candidate must possess a minimum of five (05) years of post-qualification experience in Company Secretarial or Corporate Secretarial work. In addition, the selection committee will give preference to candidates with experience in Government Companies or PSUs. It will also prefer those handling Board matters, Companies Act compliance, MCA/ROC filings, Corporate Governance, and Secretarial Audit.
📝 Mode of Selection and Evaluation
The Corporation will conduct the selection through scrutiny of applications, shortlisting, and a Personal Interview. As a result, the evaluation carries a maximum of 100 marks.

Personal Interview
The Personal Interview carries a maximum of 20 marks. Moreover, it assesses the candidate’s knowledge of the Companies Act 2013, practical knowledge of Board procedures, MCA/ROC filings, Corporate Governance, drafting skills, and overall suitability. Consequently, the Corporation may conduct the interview through physical mode or video conferencing.


⚖️ General Terms and Conditions
A. Nature of Engagement
- The engagement shall be purely contractual. It shall not confer any right upon the selected candidate for regular appointment, absorption, or continuation in the service of JKSPDC.
- The engagement shall initially be for a period of one (01) year or until regular appointment is made to the post, whichever is earlier. However, the Corporation may extend the period depending upon its requirements, as decided by the Board of Directors.
- The contractual engagement shall automatically come to an end upon expiry of the approved contractual period or upon joining of the regularly appointed Company Secretary, whichever is earlier.
B. Termination, Remuneration & Allowances
- Either party may terminate the engagement by giving 30 days’ notice or payment of one month’s consolidated remuneration in lieu thereof.
- The selected candidate shall be entitled only to the approved consolidated remuneration. They shall not be entitled to any other allowance, benefit, or perquisite unless specifically approved by the Competent Authority.
- No TA/DA shall be admissible for appearing in the interview or joining the assignment.
- TA/DA for official tours undertaken during the period of engagement, if any, shall be regulated as per the applicable rules of the Corporation.
C. Conduct, Integrity & Confidentiality
- Candidates already employed in Government Departments, PSUs, Government Companies, Autonomous Bodies, or Semi-Government Organizations shall produce a valid No Objection Certificate (NOC) from their present employer at the time of interview.
- The selected candidate shall maintain strict confidentiality in respect of all information, documents, and matters relating to the Corporation.
- The selected candidate shall maintain professional integrity and avoid any actual or potential conflict of interest during the period of engagement.
D. False Claims, Canvassing & Rights of the Corporation
- Any false declaration, concealment of material information, or submission of incorrect or forged documents shall render the candidature liable to rejection or termination of engagement, as the case may be.
- Canvassing in any form shall be treated as a disqualification.
- The Corporation reserves the right to modify the eligibility criteria, number of posts, remuneration, terms and conditions, cancel or withdraw the advertisement, or discontinue the selection process at any stage without assigning any reason.
- The decision of JKSPDC in all matters relating to the engagement shall be final and binding.

Candidates must submit the duly filled Application Form prescribed at Annexure-I. Furthermore, they must attach self-attested copies of the following documents:
- Proof of Date of Birth
- Matriculation / 10th Certificate
- Graduation Degree / Certificate
- ICSI Membership Certificate
- Higher / Additional Qualification Certificates, wherever applicable
- Experience Certificates clearly indicating the period and nature of experience
- Appointment / Joining / Relieving documents, wherever necessary
- NOC from present employer, wherever applicable
- Any other document relevant to the eligibility claimed
Therefore, the Corporation shall not consider experience claimed without supporting documentary evidence.
